Minutes
- Call to Order - Mark Miller, Chairman, called the meeting to order at 10:00 a.m.
Present, constituting a quorum were: R. Allan Gorsuch; ESMEC, Sandy Smith, Cecil County; Mark Miller, Wicomico County; Robin Landgraf, Queen Anne's County; Bill Cain, Somerset County; Milton Nagel, Caroline County; Gary McCabe, Worcester County, Charles Connolly, Talbot County, John Pfister, Dorchester County; Frances Miller, Kent County.
Also present were: Chip MacLeod, Funk & Bolton; David Downes, Downes Associates, Inc.; Kelly Wood, Alternate Trustee, Cecil County; Tony Cucina, Energy Trust Coordinator for Kent County; Toni Schelts, Alternate Trustee for Queen Anne's County.
- Agenda approved.
- Approval of Minutes - June 14, 2001 minutes approved.
- By Law Adoption - Chip MacLeod reviewed the By-Laws. Motion was made by Faye Miller to adopt the By-Laws as presented and seconded by Sandy Smith. Unaminous.
- RFP Process - David Downes discussed process in detail and advised contacts will begin in approximately 2 weeks.
- Electronic Market Place (EMP) - David Downes gave overview. Motion made by Faye Miller and second by Gary McCabe that a meeting be set up between David Downes, Mark Miller, Chairman, Allan Gorsuch, Manager and EMP to negotiate an agreement to be brought back to the group. Unanimously passed.
- Marketing Report - Suggestions:
- Establish advertising meeting
- Hold informational meetings:
- for Upper Shore at Chesapeake College
- for Lower Shore at Salisbury University
- for ESMEC committees
- for local school systems

By-Laws
- Applications - Dr. Gorsuch handed out an updated Appendix D.
Faye Miller motioned to approve and accept application from Wor-Wic Community College. Seconded by Gary McCabe. Unanimously approved.
- Documents - Biographies, Executive Summary, Slide Presentation and copies of Letters sent out were distributed by Allan Gorsuch.
- Trustees - Issues
- Will need 2-3 new participants before end of year to cover costs associated with Trust.
- Need to prepare a proposed budget
- Meeting Schedule - (normally scheduled for second Thursday of each month)

- Other - Chairman, Mark Miller disclosed to the Board the fact that his wife is employed by Downes Associates, Inc., a consulting firm doing business with the Energy Trust. Mr. Downes pointed out that Mrs. Miller has been employed by Downes Associates for approximately 10 years and that in the normal course of business she was not directly involved in the work performed for ESMEC Energy Trust. Pursuant to Article III, Section 3 (c) of the By-Laws, the Board of Trustees considered the disclosed relationship and potential conflict of interest. Motion made by Allan Gorsuch that the removal of Trustee Miller was not warranted. Seconded by Faye Miller and unanimously approved.
